These are the terms of use of the community network “Usights”. This community is managed by Collaby BV, with registered office at Stationsstraat 69, 3360 Bierbeek, with company number VAT BE 0744.962.770 (hereinafter ‘Collaby’), and as contact person Mr. Dylan Mendes (dylan.mendes@u-sights.be).

We recommend that you read the terms of use carefully so that you are aware of your rights and obligations as a member of the community. By becoming a member, you agree to these terms.

Collaby BV is a community network organizing diverse training & networking initiatives in the broadest sense. As a member you can also engage via text, video & audio.Theses engagements are subject to a number of rules to keep communication open and constructive. We believe that clear rules of the game provide the greatest guarantee of a constructive community.

Since Collaby BV greatly appreciates the opinion of the members, all ideas are welcome to further improve the community. You can always forward your suggestions to info@u-sights.be.

WHO CAN REGISTER ON THE ONLINE COMMUNITY?

Every member gains access to the community through his organization. Each member must individually accept both these terms of use and the privacy policy in order to access the community.

An account does not grant this member any ownership rights to this account. Collaby BV reserves the right to refuse, suspend or remove accounts. For example, if the member does not comply with the rules below or if an account of this member has already been refused or deleted before. All rights to created accounts remain with Collaby BV.

EVERY ACCOUNT MUST COMPLY WITH THE FOLLOWING RULES

Each account is strictly personal

Each account must be unique and linked to a natural person. A person has the right to create one account. If it is determined that one person has multiple accounts, Collaby BV reserves the right to remove all these accounts. Every member must be at least 16 years old.

An account is not transferable to another person

Since each account is strictly linked to one specific person, this account cannot be transferred to another person without the permission of Collaby BV. This transfer ban must be seen in the broadest sense. Collaby BV reserves the right to refuse or delete this account in case of established infringements.

An account may not be used for commercial purposes

The member profile that Collaby BV offers to members is linked to a learning community around revenue management & revenue generating activities. An account can therefore only be used in that sense. Any use of the account for the sole purpose of enjoying a commercial advantage is prohibited.

The account details must always remain confidential

It is not allowed to allow anyone other than the person who created the account to use this account. The person who creates the account must ensure that his password and login details are saved. We recommend that you use a “strong” password (a password with a combination of upper and lower case letters and numbers). Collaby BV can in no way be held responsible for loss or damage incurred to the account because the above conditions are not met by the member. Collaby BV cannot be held responsible for theft of your account, for example by ‘phishing’. Collaby BV will never ask its members for personal data such as a login or password via e-mail. If personal data would be requested, the member will always be redirected to the Usights community platform.

LIMITS TO THE CONTENT AND USE OF THE COMMUNITY

In order for the Usights community to work properly and to allow you to communicate and stay in touch with others, there are some restrictions on the type of content that can be published through the community:

General

As a member, you are solely responsible for the content of your posts or comments. Because Collaby BV bears no responsibility for this, you indemnify Collaby BV against all claims from members or third parties based on the content made available by you, including claims for incorrectness, inaccuracy, unsuitability, illegality, incompleteness or not being up to date of content. All costs incurred and damage suffered by Collaby BV that are in any way related to such claims will have to be compensated by the infringing member.

As a member, you agree that the content you make available will be accessible to all members of the community. Collaby BV bears no responsibility whatsoever for the consequences of making the content available to the members of the community, as a result of your choice.

Abusive behavior

We strongly believe in freedom of expression. However, in order to ensure that the community can be used constructively by the members, with respect for different opinions and without people having to be afraid to express these opinions or beliefs, we do not allow behavior that goes beyond borders. By being abusive, such as behavior that bullies, intimidates, or uses fear to silence another member.

Accounts and related accounts in which the activities below are performed may be temporarily blocked and/or deleted permanently:

• Violent threats (direct or indirect): You must not make violent threats or promote violence, including threatening or promoting terrorism.

• Harassment: You must not encourage or be involved in intentionally insulting or harassing others. Here are some factors to consider when assessing abusive behavior:
• whether the primary purpose of the reported account is to harass or send abusive messages to others;

• whether the reported behavior is one-sided or contains threats;

• whether the reported account encourages others to harass another account; and

• whether the reported account is sending harassing messages to an account from multiple accounts.

• Hate speech: You must not promote violence against or directly attack or threaten other people based on race, ethnic background, nationality, sexual orientation, gender, gender identity, religious affiliation, age, disability or illness. We also do not allow accounts whose primary purpose is to incite harm to harm others under these categories.

• Misuse of multiple accounts: Creating multiple accounts for overlapping uses to avoid temporary or permanent suspension of an individual account is not allowed.

• Private Information: You may not publish or post confidential information and private information of others without their express authorization and consent. This data includes, for example, credit card numbers, address details, telephone numbers or data that constitutes the strict privacy of a person.

• Impersonation: you may not present yourself via the community as someone else in a way that actually or intentionally misleads, confuses or threatens others.

Spam

We strive at all times to protect the members of the Usights community against technical abuse and spam. Accounts in which the activities below are performed may be temporarily blocked or permanently deleted.

• Accounts inactive for more than six months may be deleted without further notice.

• Malware/phishing/viruses/worms/Trojans: You must not post malicious content or links to such content with the aim of damaging or disrupting anyone else’s browsers or computers, or violating anyone’s privacy.

• Spam: You may not use the Usights community to spam people.

Violation of applicable laws

The use of the account in any way may in no way violate applicable laws. This includes violations of privacy legislation, intellectual property rights, the criminal code,…

The account may in no way be used to promote illegal activities.

In case of violations of the aforementioned rules

Collaby BV reserves the right that if it finds violations of the aforementioned rules, to remove the relevant messages and even to suspend or permanently delete member profiles.

Collaby BV can in no way be held liable for messages posted by members or third parties that violate the above rules.

The web administrator will strictly monitor that these rules are not violated. Messages that violate the above rules will be removed as soon as possible. If a member nevertheless discovers an infringement, he can always report it to the following e-mail address: info@u-sights.be.

Files on the community may contain links to third-party websites or files posted by members or advertisers. The inclusion of this does not imply that Collaby BV has approved or checked the content or website. Collaby BV is not responsible for the content and working methods of third-party content or the linked sites or for any use thereof by you as a member of the community. Following the link is at your own risk and any damage incurred as a result is the sole responsibility of this member.

INTELLECTUAL PROPERTY RIGHTS

Collaby BV respects the intellectual property rights of others and expects the members of this community to respect these rights as well. Collaby BV reserves the right to remove content that infringes intellectual property rights. Repeated infringements of intellectual property rights of whatever nature by a member may lead to the suspension or removal of the account by Collaby BV.

Property rights Collaby BV

The Collaby BV community is protected by intellectual property rights relating to, among other things, content, source code, database, etc. The use of this community in no way implies a transfer of these intellectual rights to the members of the community. Every member must be aware of these rights and must act accordingly.

It is thus prohibited to reproduce, distribute, modify or pass on the community and its content without permission.

LIABILITY

Collaby BV strives to keep the community available at all times. Nevertheless, Collaby BV does not guarantee that the community will be accessible at all times and without interruptions or malfunctions.

We try to keep the Collaby BV community online, error free and secure, but the members use the community at all times at their own risk. Collaby BV is not liable for damage in any form whatsoever resulting from the use of the community, but not limited to damage as a result of incorrectness, inaccuracy, unsuitability, illegality, incompleteness or backlog of timeliness of the information and content on the community.

Collaby BV does not accept any liability for damage as a result of an attributable shortcoming in the fulfillment of the agreement to provide services, including – but not limited to – damage arising from or related to the use of the community or the inability to use it and/or any related services from Collaby BV or in tort or otherwise, insofar as this is permitted by mandatory law.

Collaby BV is in any case never liable for consequential damage, including pure financial loss, loss of turnover and profit, loss of data and immaterial damage, related to or resulting from the services that Collaby BV provides and/or the use by the members of the community.

RESERVATION TO CHANGE OR TERMINATION OF SERVICES

Collaby BV’s services and products are constantly evolving. The form and nature of the community may change from time to time without prior notice to all members. In addition, Collaby BV can stop (temporarily or permanently) offering the community to the members. Collaby BV has no obligation to retain the content made available in the community if it terminates the service with regard to the community. Collaby BV will make every effort to inform the members in the event that the offer of the community is stopped, so that they are given a reasonable period of time to store content in another way, if desired.

NULLITY AND APPLICABLE LAW

If one or more provisions of the terms of use are null and void or destroyed, the other provisions will remain in full force and effect.

All issues, questions and disputes relating to the validity, interpretation, enforcement, execution or termination of these Terms of Use shall be governed by and construed in accordance with the provisions of Belgian law.

All disputes concerning the validity, interpretation, enforcement and execution of these terms of use will be settled exclusively by the courts of the place where Collaby BV has its registered office.
